Due diligence is an important part of all M&A and IPO transactions, and tax is a core element in a due diligence engagement. It is not unusual that deal breakers are identified in tax due diligence reviews. With the increasing complexities in the China and international tax landscapes, one cannot underestimate the impact that tax may bring to a cross border M&A or an IPO transaction with operations covering multiple jurisdictions. In this seminar, experts specializing in China and international tax from PwC will go through the following topics with us:
- What is tax due diligence? Why do we do it and how does it fit into the overall M&A deal cycle/IPO cycle
- Scoping and coverage of tax due diligence engagements
- Key review areas in tax due diligence, e.g. effective tax rate, group reorganizations, transfer pricing
- HK, PRC, and international tax issues often identified in tax due diligence reviews
- How do we factor in the tax issues identified in the tax diligence reviews in the deal negotiations e.g. SPA, warranties and indemnities etc.?

About the Speakers
Mr. Andrew D’Azevedo
Partner – M&A and International Tax Services

Andrew is a Tax Partner in the M&A and International Tax Services team in Hong Kong. Prior to joining PwC Hong Kong in 2014, Andrew started his career in the corporate tax team at PwC in Sydney, Australia.
Andrew’s experience spans across a range of private equity clients and multinational corporations. He has specialised in international tax and transactional based assignments in both Hong Kong and throughout Asia-Pacific across a wide range of industries, including technology, retail, manufacturing, pharmaceutical, construction, infrastructure, real estate and entertainment sectors.
In particular, Andrew has performed numerous tax due diligence assignments for both buy and sell side clients together with advising on tax efficient holding and operating structures for portfolio investments and multinational groups with operations spanning multiple jurisdictions. Since joining PwC Hong Kong, Andrew has also utilised his Australian tax experience, offering guidance to HK / Chinese clients with respect to their outbound Australian investments.
Andrew has also presented at various PwC Hong Kong tax update sessions for clients together with industry specific sessions focusing on the private equity market. Andrew has presented previously on international tax topics at conferences and other training sessions with the HK Inland Revenue Department, Dutch Chamber of Commerce, Michael Page, swissnex and La Borsa Italiana in Hong Kong.
Andrew is a member of the Chartered Accountants Australia and New Zealand (CAANZ), the Hong Kong Institute of Certified Public Accountants (HKICPA), the Australian Chamber of Commerce (AustCham) and is a Fellow of the Tax Institute in Australia (FTI). He also holds a Bachelor of Commerce (Liberal Studies) from the University of Sydney and Master of Applied Taxation degree from the University of New South Wales.
Ms. Gloria Chan

Gloria is a Tax Partner with over 20 years experience in M&A and China & Hong Kong tax advisory. After working for a couple of years with the Hong Kong tax practice, Gloria has strategically switched her focus to China tax practice by moving up to Shanghai in 2008. Her move has captured the golden opportunities to observe numerous important changes to the China tax regime and participate in various types of engagements under a robust yet dynamic economic environment in China between 2008 and 2015.
Gloria is specialized in providing M&A tax due diligence review for both buy and sell side, deal structuring, negotiation support and post-deal integration services in Hong Kong and China for large multinational corporations and private equity funds covering various industries. With her experiences working on multinational groups with global operations, she has coordinated numerous transactions involving jurisdictions across APAC, US and European countries.
She has led more than 200 M&A transactions including Hong Kong’s first public-to-private transaction by a private equity firm. In recent years, she has led various sell-side tax due diligence/assistance and deal structuring for multinational corporations with presence in Hong Kong, China and Asia.
Gloria also has extensive experience in advising clients on PRC tax compliance matters, pre-IPO structuring, tax optimization, streamlining holding structure, cash extraction, tax audit defense, market entry strategy and indirect equity transfer tax assessment review and negotiation.
Gloria is a fellow member of the Hong Kong Institute of Certified Public Accountants and a member of the Association of Women Accountants. She is a frequent speaker on China tax related topics for various associations and organises the quarterly China Tax Insights Café at PwC.
