We will navigate the privatization process of a US listed entity, including practical considerations of participants such as management, PE investors and debt financing sources.
Listings/Re-Listings
US listed entities can also consider getting listed on the Hong Kong Stock Exchange via different means. In this section, we will look at the possible options.

About the Speakers
Sammy has a dedicated practice in capital markets and corporate transactional work, and is a well-recognised lawyer in advising on Hong Kong equity capital market transactions such as IPOs, global offerings, rights issues and other capital markets fund raising transactions. He also has extensive experience in mergers and acquisitions, restructuring and insolvency, and private equity and venture capital investments.
Prior to re-joining Hogan Lovells as partner, Sammy was the Hong Kong Chair at a leading U.S. Firm and an in-house counsel for a major investment bank, hence, he has a deep understanding of the finance industry and its regulations, which enables him to give practical commercial advice to clients.
Stephanie is the head of private equity in Greater China, and is based in Hong Kong. Stephanie is a well-regarded M&A (both public and private), private equity, and capital markets partner with a strong track record of successfully advising Chinese companies on their outbound investments and international companies on their investments in the Asia Pacific region.
Stephanie’s transactional practice spans the range of M&A activity, including LBOs, take-private transactions, de-SPACs, equity investments, PIPEs, and other complex cross-border transactions.
In recent years, Stephanie led 28 take-private transactions of U.S.-listed Chinese companies, many of these companies have achieved listing in Chinese A-share market subsequent to the privatization.
In addition, she has represented both issuers and underwriters on NYSE and NASDAQ IPOs, private placements of equity and equity-linked securities, and Rule 144A and Regulation S offerings by China-based companies.
A sought after speaker and commentator, Stephanie has been recognized as a leading lawyer for M&A by IFLR1000 and she frequently lectures on cross-border M&A and IPOs.
Samson has extensive experience in equity capital markets transactions, having advised on a number of Hong Kong IPOs for underwriters, and issuers from a range of various jurisdictions and industries. He also regularly advises on share placements, public takeovers, mergers and acquisitions, as well as regulatory compliance matters for listed companies.
Prior to joining Hogan Lovells, Samson was an associate at a leading U.S. firm.
Samson is recognised as a recommended lawyer in The Legal 500 Asia Pacific.
About the MC
Alvin Ho is an experienced investment principal with demonstrated track records in private equity. He is the Managing Director of a private investment vehicle that invest in several high growth sectors. In addition, he serves as a board member for several listed companies, and is a member of the investment committees for several investment funds, platforms and foundations. He has previously been the legal representative or executive representative for local currency funds incorporated in Beijing and Chengdu, and the Head of China for the private equity growth fund managed by CLSA Capital Partners.
Ho holds various post-graduate degrees from Tsinghua University and London Business School. He has authored two books in Chinese on the economics of sports, the latest being《超級巨星經濟學》 (or Superstar Economics).

APG Asset Management Asia
Joanna Dai is the senior investment risk manager of APG Asset Management, one of the world’s largest pension investors headquartered in the Netherlands. Based in Hong Kong, she manages the financial risks of listed equities and fixed income portfolios of APG Asia. Previously, she held various investment and market risk roles in AIA Group, J.P. Morgan and SAFE Investment across different types of assets. Joanna is a CFA and CAIA Charterholder, a certified FRM. She holds a BSc degree in Mathematics from Shanghai University and a Master of Statistics degree from the University of Hong Kong.
Rating General – Material presented will be basic and of interest to a general audience having no background in the area.
