The Continuing Education Committee is pleased to bring together elite speakers from the PwC team who will share with us their professional knowledge and experience on advising corporate clients and government on “Belt & Road” projects in an online seminar to be held on 6 July 2021 .  

The “Belt & Road” initiative is the China grand plan to go global, and the initiative is becoming increasingly influential.  Under the long advocated “Going aboard” strategy, Chinese enterprises have been enthusiastic in making overseas investments in the last decade and this enthusiasm has added momentum to the “Belt & Road” initiative and also the China’s plan to go global.  Despite this, investors are facing different kinds of risks, challenges and uncertainties when making investments in the “Belt & Road” projects.

Language: Mandarin supplemented with Cantonese

 In this seminar, the speakers will be addressing the following topics: 

1.An overview of the investment landscape in the “Belt & Road” countries
a.     Pinpointing, and supported by relevant data, the main targeted investment locations/countries, industries and a few famous projects

2. An overview of the investment climate of one of the core “Belt & Road” investment zones – South East Asia, including:
a.     A snapshot of the investment ecosystem in the South East Asia and the driving forces for Chinese investors in making investments in these locations
b.     A closer look at the pros and cons for making investments in the hot-pick countries – Thailand and Vietnam

3. Case sharing on “Belt & Road” investment projects

4. Typical modes of investment and tax considerations for making investments in the “Belt & Road” projects, including:
a.     Greenfield projects and overseas industrial parks
b.     Overseas construction projects
c.      Overseas M&A deals

5. Case sharing on tax planning for China enterprises making “Belt & Road” investments in South East Asia

About the Speakers

Ms. Brenda Yip
Partner

Brenda is a Partner in the Deals Advisory Group in our Hong Kong and China practice. She has been with PricewaterhouseCoopers for over 20 years and she has over 15 years experience in advising merger and acquisition transactions.

Prior to joining the Transaction Services team, Brenda had worked in Assurance department for several years. She is a member of the Hong Kong Institute of Certified Public Accounts.

Brenda has extensive experience in mergers and acquisitions, presided over the financial due diligence for domestic enterprises, multinational corporations and private equity funds. She also provides deal advisory support and assistance to the structure and negotiation to different transactions. 

Her past project involves a wide range of industries, including core manufacturing, retail and consumer, pharmaceutical, and TMT related businesses. Brenda also has extensive experience helping Chinese enterprises in their overseas acquisitions into Asia, Europe and America.  

Mr. Danny Kwan
China Tax and Business Advisory Partner

Danny Kwan is a Partner in China Tax and Business Advisory Services Division of PwC China, specializing in the mergers and acquisitions strategies in China. Danny has advised investors for their China inbound and outbound investment, including tax advisory on entrance strategy, tax due diligence, international tax structuring, reorganization, IPO, profits repatriation, foreign exchange as well as the negotiation with tax bureau for tax concessions and exemptions.

Danny was seconded to New York for a few years working with a lot of multinational and private equity clients. He accumulated extensive experience in structuring many cross border transactions to achieve overall tax efficiency, effective treasury and tax risks management.Danny has involved in various tax due diligence and restructuring projects across many industries, including technology, software, manufacturing, consumer products, services, real estate, infrastructure, etc.

Danny obtained his Bachelor of Commerce degree from the University of Sydney, Australia and the Master of Laws degree in the University of Bristol, United Kingdom. Danny is currently a member of the CPA Australia and a member of Hong Kong Institute of Certified Public Accountants.

Mr. Pingping Zhang, CFA

Mr. Zhang is the Associate Director of Corporate Finance team within the PwC China Deals Practice, and he was also once leading the China Business Desk in PwC Southeast Asia Network. He is dedicated to providing one-stop financing and M&A services to all kinds of clients in inbound/outbound deals. 

Mr. Zhang graduated from Monash University and Australian National University, possessing a Bachelor Degree in Computer Science, a Master Degree in International Business and a Master Degree in Finance with Merit. He is also a CFA charterholder.  

Prior joining PwC, Mr. Zhang had been working for a Chinese government authority, a UK-based asset management group, a Hong Kong-based investment bank, whereby he successfully managed several pre-IPO investments and IPO projects as well as an asset management fund. 

Mr. Zhang joined PwC in 2015. His major task is to provide inbound/outbound financing and M&A services to clients. He is highly experienced with IT, infrastructure, education, auto and logistics sectors. During 2018 to 2020, he was on secondment in PwC Thailand, where he founded the local China Business Desk for PwC Southeast Asia Network.

Ms. Theresa Cai
China Tax and Business Advisory, Senior Manager

Theresa is a Senior Tax Manager of PwC Hong Kong. Before transferring to Hong Kong, Theresa has been working with PwC Shanghai since graduation.  

She was on UK secondment from 2011 to 2013. During that period, she worked in PwC UK London office ITS team and was been involved in a few high profile cross-border deals and accumulated various experience in providing tax advice. 

Theresa has extensive experience in advising multinational clients on tax and business matters related their Chinese investment, including assisting in developing feasible structuring options to carry out the proposed investment, mergers and acquisitions support, providing advice on various China tax issues associated with the cross-border transactions, identifying the major tax risks as well as potential tax planning opportunities. 

She has served a wide spectrum of clients in various industries, including manufacturing, retail & consumer, TMT, automobile, transportation and logistics, etc. 

Theresa has obtained PRC Bar qualification since 2008.

Material presented will be basic and of interest to a general audience having no background in the area.
